In accordance with the applicable legislation and good business practice Nova KBM d.d. hereby gives the following notice:
 

Taking into consideration the actual situation concerning Aleš Hauc, President of the Nova KBM Management Board, and acting with due care and diligence, the members of the Nova KBM Supervisory Board have determined that it is in the best interests of Nova KBM to properly define the relationship with Mr Hauc. Following the receipt of a legal opinion that sets out the options available to the Supervisory Board in the situation with respect to Mr Hauc, the members of the Supervisory Board have reached the following decision, which they believe is in the best interests of Nova KBM:

 

the Nova KBM Supervisory Board gives notice that today, at its 31st regular meeting, the Supervisory Board reached a decision to recall Aleš Hauc from the position of the President of the Nova KBM Management Board due to his incapacity to run the Bank owing to health-related issues. In view of the aforementioned, no circumstances have arisen that would justify the payment of a severance benefit or a compensation for a non-competition clause to Mr Hauc. The Management Board will offer Mr Hauc the opportunity to take up an appropriate position within the Bank.

 

The Supervisory Board appreciates the efforts Mr Hauc has made over the past two years, which have helped Nova KBM regain its position as a successful and profitable bank. The past two years have been very challenging for the management as well as for all other Bank employees. A considerable amount of work has been completed on the implementation of measures arising from the adopted restructuring programme and commitments given to the European Commission by the Republic of Slovenia and Nova KBM. The efforts made so far are reflected in the operations of both Nova KBM and the Nova KBM Group, which, after several years of financial difficulties and negative results, managed to restore their profitability.

 

While Nova KBM is now much better prepared to deal with the challenges that lie ahead of it, the Management Board and all employees of the Bank will continue to focus on further implementation of measures arising from the adopted restructuring programme and the commitments given to the European Commission.

 

At today´s meeting, the Supervisory Board passed a decision to appoint Robert Senica as the new President of the Nova KBM Management Board. Sabina Župec Kranjc remains on the Management Board as a member.

 

The appointment of the new President makes it possible for the Management Board to continue to perform its duties, while at the same time ensuring the effective corporate governance of the Bank and the proper running of its operations.

 

The Supervisory Board expects that the operations of Nova KBM will continue to run smoothly, efficiently and effectively, and will remain in line with the set objectives and the adopted financial plan for 2015.
