Submission of a copy of the merger agreement with Poštna banka Slovenije d.d | NKBM

Nova KBM d.d. submitted on 20th May, 2016, to the registration authority of the District Court in Maribor a copy of the merger agreement with Poštna banka Slovenije d.d. dated 29.3.2016. We hereby draw the attention of Nova KBM's shareholder to its right to examine and demand a copy of the following documents, from the date of this announcement at the bank’s headquarters, Ulica Vita Kraigherja 4, Maribor (office of the Management Board's Cabinet): 

• Merger agreement with Poštna banka Slovenije dated 29.3.2016, 
• Audited Annual reports for the years 2013, 2014 and 2015 and 
• Supervisory board's report on the review of the merger proceeding.

The process of the merger by absorption of Poštna banka Slovenije is conducted through simplified formalities and Nova KBM d.d. is the sole owner of Poštna banka Slovenije. Hence there is no need for additional documents to be published. Despite the fact that none of the EGM's of in the merger involved banks has approved the merger, the shareholder of Nova KBM may request a meeting of the shareholders to be held on this matter.
